1. Toepasselijkheid en Voorrang

Deze algemene voorwaarden zijn uitsluitend van toepassing op de relatie tussen H²BC bv en de klant. Ze gelden voor alle offertes, opdrachten en facturen, tenzij H²BC bv schriftelijk en uitdrukkelijk voorafgaandelijk akkoord gaat met afwijkende voorwaarden.

  • Deze voorwaarden hebben steeds voorrang op eventuele voorwaarden van de klant.

  • Door een offerte te aanvaarden of een bestelling te plaatsen, stemt de klant in met deze voorwaarden.

2. Offertes en Bestellingen

Offertes

  • Geldigheid: Alle offertes zijn vrijblijvend en geldig gedurende 10 kalenderdagen, tenzij uitdrukkelijk anders vermeld in de offerte.

  • Aanvaarding: Een offerte moet schriftelijk worden goedgekeurd. Dit kan gebeuren per e-mail, per post, of by means of digital (online) signing. With this approval, a definitive and irrevocable agreement is created.

  • Withdrawal: H²BC bv may withdraw a quote as long as it has not yet been accepted by the customer, without providing reasons and without compensation.

  • Prices: All prices are exclusive of VAT and other taxes, unless otherwise stated.

Orders

  • Each order (also via email, web form, or other channels) is definitive and irrevocable.

  • The cancellation of an assignment obligates the customer to fully compensate for the costs already incurred.

  • Deposits: For certain services, a deposit invoice will be issued. Delivery and reservations will only be definitively confirmed after payment of this deposit. Late payment may lead to cancellation.

3. Invoicing and Payment

Method of invoicing

  • Services (Consultancy): Performances are billed at the end of each month . The relevant timesheets are attached to the invoice to substantiate the hours worked.

  • Webshop purchases: When purchasing products in the webshop (for example, e-books, reports), it is immediately invoiced upon receipt of payment.

Payment terms

  • Term: Invoices are payable in Euro, cash, and without discount, within 14 calendar days after invoice date.

  • Disputes: Complaints about an invoice must be reported within 7 calendar days after sending by registered mail. After that, the invoice is undisputed.

  • Collection costs in case of default:

    • Reminder: After the due date, a reminder will automatically follow with an administrative cost of € 25.00.

    • Default notice: After 15 days of late payment, a default notice will follow with a cost of € 150.00.

    • Default interest: By operation of law and without a default notice, default interest is due in accordance with the law of 02/08/2002 (for commercial transactions).

    • Compensation: In case of late payment, the customer is also liable for a compensation of 10% of the outstanding amount (minimum € 150.00), in addition to the interest and administrative costs.

  • Due date: In case of late payment, all outstanding invoices, including those not yet due, become immediately payable.

  • Suspension: H²BC bv may suspend an assignment in case of payment arrears. The customer cannot claim compensation for this and bears all additional costs.

  • Collection: Unpaid invoices may be transferred to a debt collection agency. All associated costs (administrative, judicial, extrajudicial) are the responsibility of the customer.

4. Intellectual Property

  • Usage Rights: The client may use documents prepared by H²BC bv (studies, presentations, plans, etc.) for the purpose for which they were created. This is a one-time usage right for the duration of the assignment.

  • Ownership: All documents remain the intellectual property of H²BC bv.

  • Prohibited actions: The client is not allowed to sell, publish, copy, distribute, or commercially exploit these documents without written permission from H²BC bv. All documents are subject to copyright.

  • Rights of H²BC bv: H²BC bv reserves the right to use developed concepts and ideas for its own use or for third parties, while always observing any applicable confidentiality agreements and the legislation regarding data protection (GDPR).

5. Delivery of Services

Deadlines and Delays

  • All delivery and execution deadlines are indicative and not binding.

  • Delays never give the right to cancellation or compensation. H²BC bv does strive to comply with the agreed deadlines.

Time Pressure and Working Hours

  • Working under time pressure is done at the full responsibility of the client and may incur additional costs.

  • Rates outside normal working hours: Work performed outside normal working hours incurs additional costs, unless otherwise agreed in writing:

    • Saturday: 150% of the agreed rates.

    • Sunday on Holidays: 200% of the agreed rates.

Liability

  • H²BC Ltd cannot be held liable for imperfections, errors, shortcomings, nor for direct or indirect damages arising therefrom.

  • The client is personally responsible for the content of files towards third parties and indemnifies H²BC Ltd for all claims and legal costs arising therefrom.

6. Legal Compliance

Each party is responsible for complying with all applicable laws, regulations, and rules in the performance of its obligations under this agreement. No provision in these general terms and conditions shall be construed as a waiver of legal obligations imposed by law on either party.

7. Cancellations

By the Client

  • In the event of early termination by the client, all delivered and planned works/services must be paid for.

  • Cancellation must be done in writing (including electronically).

  • The client is obliged to reimburse incurred costs plus a flat-rate compensation of 30% of the total amount.

By H²BC Ltd

  • H²BC Ltd may always cancel an assignment. The client cannot claim damages for this.

  • In this case, the already paid amount will be refunded.

Force Majeure (Consultant)

  • In the event of sudden illness, weather conditions, or traffic problems, the consultant will notify the client as soon as possible.

  • A new arrangement will be made in mutual consultation.

  • This never gives the right to compensation. H²BC bv does not charge any extra costs for this.

8. Parking Facilities

  • The customer provides free parking within a radius of a maximum of 1 km of the execution site.

  • In the absence of free parking, parking costs and lost time will be fully charged to the customer, with a minimum of € 10.00 per half day.

9. Final Provisions

  • Applicable Law: These terms are exclusively governed by Belgian law .

  • Competent Court: In case of disputes, only the Courts of the Turnhout district are competent.
